Qualifications and Skills:
- Minimum 3 years or more of working experience in public company's operations and policies.
- Master's in Law (LLM) from a recognized university.
- Thorough knowledge of activities involved while listing the company in public limited.
- Strong knowledge of corporate law, compliance, and governance principles.
- Excellent communication and interpersonal skills.
- Detail-oriented with strong analytical and problem-solving abilities.
- Ability to work independently and collaboratively in a fast-paced environment.
- Fluency in English and Nepali in both speaking and writing.
- Proficiency in legal research and document drafting.

Job Description:
- Provide legal, financial, and/or strategic advice during and outside of Board and General Meetings.
- Handle regulatory relations, legal documentation, and due diligence.
- Responsible for the day-to-day operations of the legal department including but not limited to seeking and providing guidance on legal matters such as workplace policies, contract negotiations, and litigation.
- Report to the Chairman and Managing Director and often liaise with board members.
- Prepare agendas and papers for board meetings, committees, and minutes of the meetings.
- Maintain files and records related to the organization's legal proceedings and contract as per the laws of SEBON, NEPSE, and other regulators.
- Ensure that the company is following standard corporate governance practices
- Provide legal advice using oral or written platforms, The Company Secretary will be expected to brief a team of staff members on legal issues, potential liabilities, and possible courses of action.
- Perform Legal Research as required in the company.
- Conduct legal due diligence of investee companies and potential investment targets.
- Verify the speech or write-ups for press releases and media.
- Conduct AGMs and SGMs when required.
- Handle Over the Counter (OTC) registration and transaction when required.
- Work with legal firms and advisors on specific assignments.
- Support HR Department & Accounts Department by providing legal guidance as required.
- Act as the first contact point in obtaining legal instructions/advice to ensure the activities are compliant within the framework of Nepalese Law.
- To take overall responsibility for the effective management including drafting and negotiation of legal contracts the company is getting into.
